Company shall pay Merchant a fee ("Referral Fee") at the following rates:
The following shall apply to payments to be made to Mercant relative to the Referral Fee:
2.1. Method of Payment: Payment shall be paid to Merchant at rates in United States Dollars (USD). In any of following manners that may be selected at Company's sole discretion and which may change from time to time:
2.1.1. as a service credit to decrease amounts Merchant owes to (or which may come due to) Company for payment obligations under the Agreement.
2.2. Timing
2.2.1. Company shall apply the service credits within sixty (60) days of its collection of the fees from which the Referral Fee is to be paid.
Merchant agrees that it grants (on a non-exclusive, non-sublicensable basis) a license (or other rights as are required) for the use of its product images, product descriptions, product titles and other product listing information as is found on the Merchant Sites, to any third-party that reasonably needs such license in order for such third-party to exploit such items as is required for the delivery of the relevant feature related to any Referral Fees that Merchant may earn. Any such third-party receiving such license or right shall be a third-party beneficiaty to this Referral Supplement.
Company shall not be required to pay any sales, use, value added, excise, services or other tax which may be assessed currently or in the future as it relates to the Referral Fee. If a sales, use, value added, excise, goods and/or services tax is required to be assessed, Company shall be permitted to require Company to reimburse for any such taxes, fees and expenses.
Company may change these. terms, including any Referral Fee rates, at any time with or without notice to you. You should review these terms periodically.
